terms of service
These Terms of Service (hereinafter referred to as "these Terms") define the conditions for using the online shop (hereinafter referred to as "the Service") provided by TP Tokyo Co., Ltd. (hereinafter referred to as "the Company") on this website. All registered users (hereinafter referred to as "Users") shall use the Service in accordance with these Terms.
Article 1 (Application)
1. These Terms shall apply to all relationships between the User and the Company regarding the use of the Service.
2. In addition to these Terms, the Company may establish various provisions, such as rules for use (hereinafter referred to as "Individual Provisions"), regarding the Service. Regardless of their names, these Individual Provisions shall constitute a part of these Terms.
3. If the provisions of these Terms conflict with the provisions of the preceding paragraph's Individual Provisions, the provisions of the Individual Provisions shall prevail, unless otherwise specified in the Individual Provisions.
Article 2 (User Registration)
1. In the Service, user registration shall be completed when a prospective registrant agrees to these Terms, applies for user registration by a method specified by the Company, and the Company notifies the prospective registrant of its approval.
2. The Company may not approve an application for user registration if it determines that the applicant for user registration falls under any of the following reasons, and shall not be obligated to disclose the reason.
1. If false information was submitted when applying for user registration.
2. If the application is from a person who has violated these Terms.
3. In any other case where the Company deems user registration to be inappropriate.
Article 3 (Management of User ID and Password)
1. Users shall manage their user ID and password for the Service at their own responsibility.
2. Users may not, under any circumstances, transfer or lend their user ID and password to a third party, or share them with a third party. The Company shall deem the use of a user ID and password that match the registered information upon login to be by the user who registered that user ID.
3. The Company shall not be liable for any damages caused by a third party using the user ID and password, except in cases where the Company has intentional misconduct or gross negligence.
Article 4 (Sales Agreement)
1. In the Service, a sales agreement shall be established when the User applies for a purchase to the Company, and the Company notifies the User of its acceptance of said application.
2. The Company may cancel the sales agreement in the preceding paragraph without prior notice to the User if the User falls under any of the following circumstances:
1. If the User violates these Terms.
2. If the delivery of the product cannot be completed due to an unknown delivery address or prolonged absence.
3. In any other case where the Company determines that the relationship of trust between the Company and the User has been damaged.
3. Payment methods, delivery methods, cancellation methods for purchase applications, or return methods regarding the Service shall be in accordance with methods separately specified by the Company.
Article 5 (Intellectual Property Rights)
The copyrights and other intellectual property rights of product photos and other content (hereinafter referred to as "Content") provided by the Service belong to the Company and other legitimate rights holders such as content providers, and Users may not reproduce, reprint, modify, or otherwise use these for secondary purposes without permission.
Article 6 (Prohibited Acts)
Users shall not engage in the following acts when using the Service:
1. Acts that violate laws or public order and morals.
2. Acts related to criminal activity.
3. Acts that infringe on copyrights, trademark rights, or other intellectual property rights included in the Service.
4. Acts that destroy or interfere with the functions of the Company's servers or networks.
5. Acts of commercially exploiting information obtained through the Service.
6. Acts that may interfere with the operation of the Company's services.
7. Acts of unauthorized access or attempts thereof.
8. Acts of collecting or accumulating personal information of other users.
9. Acts of impersonating other users.
10. Acts of providing benefits directly or indirectly to anti-social forces in connection with the Company's services.
11. Any other acts that the Company deems inappropriate.
Article 7 (Suspension, etc., of the Service)
1. The Company may suspend or interrupt the provision of all or part of the Service without prior notice to the User if it determines that any of the following circumstances exist:
1. When performing maintenance inspections or updates of the computer system related to the Service.
2. When the provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fires, power outages, or natural disasters.
3. When computers or communication lines, etc., stop due to an accident.
4. In any other case where the Company determines that the provision of the Service is difficult.
2. The Company shall not be liable for any disadvantages or damages suffered by the User or a third party due to the suspension or interruption of the provision of the Service, regardless of the reason.
Article 8 (Usage Restrictions and Registration Deletion)
1. The Company may, without prior notice, restrict the use of all or part of the Service for the User, or delete the User's registration, if any of the following apply:
1. If the User violates any provision of these Terms.
2. If it is found that there is false information in the registered details.
3. If the credit card registered by the User as a payment method becomes unusable.
4. If there is a default in payment obligations such as fees.
5. If there is no reply to contact from the Company for a certain period.
6. If there has been no use of the Service for a certain period since the last use.
7. In any other case where the Company deems the use of the Service to be inappropriate.
2. The Company shall not be liable for any damages incurred by the User due to actions taken by the Company based on this Article.
Article 9 (Withdrawal)
Users may withdraw from the Service by contacting us with their intention to withdraw via the inquiry form and verifying their identity.
Article 10 (Disclaimer of Warranties and Limitation of Liability)
1. The Company does not guarantee that the Service is free from factual or legal defects (including defects related to safety, reliability, accuracy, completeness, effectiveness, suitability for a particular purpose, security, errors, bugs, and infringement of rights).
2. The Company shall not be liable for any damages incurred by the User due to the Service. However, if the contract between the Company and the User regarding the Service (including these Terms) constitutes a consumer contract as defined by the Consumer Contract Act, this disclaimer provision shall not apply, but even in such a case, the Company shall not be liable for damages arising from special circumstances (including cases where the Company or the User foresaw or could have foreseen the occurrence of damages) among damages incurred by the User due to the Company's breach of contract or tort resulting from the Company's negligence (excluding gross negligence).
3. The Company shall not be responsible for any transactions, communications, or disputes that arise between the User and other users or third parties regarding the Service.
Article 11 (Changes to Service Content, etc.)
The Company may change the content of the Service or discontinue the provision of the Service without notifying the User, and shall not be liable for any damages incurred by the User as a result.
Article 12 (Changes to Terms of Service)
The Company may, if it deems necessary, change these Terms at any time without notifying the User. If the User starts using the Service after the change of these Terms, the User shall be deemed to have agreed to the changed Terms.
Article 13 (Handling of Personal Information)
The Company shall appropriately handle personal information acquired through the use of the Service in accordance with the Company's "Privacy Policy."
Article 14 (Notices or Communications)
Notices or communications between the User and the Company shall be made by methods specified by the Company. Unless the User submits a change notification in a format separately specified by the Company, the Company shall consider the currently registered contact information as valid and send notices or communications to that contact information, and these shall be deemed to have reached the User at the time of dispatch.
Article 15 (Prohibition of Assignment of Rights and Obligations)
The User may not assign or pledge to a third party the status under the use agreement or any rights or obligations under these Terms without the Company's prior written consent.
Article 16 (Governing Law and Jurisdiction)
1. Japanese law shall be the governing law for the interpretation of these Terms. Furthermore, the application of the United Nations Convention on Contracts for the International Sale of Goods shall be excluded with respect to the Service.
2. In the event of a dispute concerning the Service, the court having jurisdiction over the location of the Company's head office shall be the exclusive agreement jurisdiction court.
